Step 1 of 2: Company Prefix Licence Agreement

GS1 Canada is a not-for-profit, industry-led association established to promote and maintain global standards for the identification of goods, services, locations and related e-commerce communication, such as bar code licensing and administration. As a participating member of the worldwide GS1 System, GS1 Canada represents Canada in the continuing development of the global language of business.

Annual Company Prefix Licence

Accepting the documentation accompanying this GS1 Canada Company Prefix Licence constitutes acceptance and full agreement to the terms and conditions of this Agreement, as well as agreement to be bound by said conditions.

Standard Terms & Conditions

1. Purpose

Trading partners in Canada and around the globe rely on GS1 Member Organizations, such as GS1 Canada, to maintain current and accurate records for GS1 Canada Company Prefix Licences associated with bar coded products. To preserve the integrity of your company and product information, GS1 Canada issues Company Prefix Licences that are valid for a duration of 12 months, which Licensees renew on an annual basis.

2. Conditions

2.1. Exclusive Use

2.1.1. A GS1 Canada Company Prefix Licence, issued by GS1 Canada, is to be used in accordance with global standards to identify items, locations, assets, logistics units, and service relationships owned or controlled by the Licensee. Global standards for the use of GS1 Canada Company Prefix Licences are administered by GS1 Canada in Canada.
 
2.1.2. The GS1 Canada Company Prefix Licence may not be sold, leased, sublicensed, or subdivided for use by others. Special rules apply if the Licensee desires to transfer the Company Prefix Licence number in the event of a sale or merger, as set out in paragraph 2.3 of this Licence Agreement.
 
2.1.3. Once GS1 Canada assigns a prefix number to your file, no exchanges are permitted. If a Prefix number does not suit your business requirements, you must complete a release form, which is available at www.gs1ca.org. You must also submit the administration fee to terminate the GS1 Canada Company Prefix Licence number and complete a second prefix request form to obtain another number.

2.1.4. Prefix Authorization
If another company (such as a distributor, broker, manufacturer, wholesaler, exporter, importer, etc.) represents your company within the Canadian market and requires access to any of GS1 Canada services on your behalf, you must complete the following steps:

1) Complete a Prefix Letter of Authorization, confirming that you permit the other company to represent your company, available at www.gs1ca.org/e/prefixauth.
2) Print the Letter of Authorization on your company’s letterhead
3) Submit the Prefix Letter of Authorization, along with administration fee to process the letter

2.2. Provision of Company Information
Licensees must ensure that their company’s online profile remains up-to-date:

2.2.1. Legal name and address must be accurate. Organizations that officially identify themselves with a number must provide GS1 Canada with the name under which they operate.

2.2.2. Contact information must include the e-mail addresses of employees who will receive essential news and communications from GS1 Canada. Please note that the contact details of the organization’s CEO must be completed.

2.2.3. Contact information must include the e-mail address(es), of the employee(s) responsible for coordinating and managing product identification internally.

2.2.4. To determine the appropriate fee for the GS1 Canada Company Prefix Licence, the Licensee must complete and return a Sales Confirmation Form signed by the company’s Chief Financial Officer. The form can be obtained at www.gs1ca.org/e/salesconfirmation

2.3. Company Name Change

In the event that a GS1 Canada member’s corporate name changes, the member shall forthwith notify GS1 Canada by completing the online name change notification form, pay the administration fee and include a copy of the relevant legal document(s) that confirm the name change.

International GS1 Canada members wishing to make changes to their company name must supply a confirmation letter from the GS1 Member Organization that issued the company’s prefix number.

International members of GS1 Canada that acquire a Canadian company that holds a GS1 Canada Company Prefix Licence must complete a name change notification form, pay the administration fee and include a copy of the relevant legal document confirming the name change.

The name change notification form can be obtained at www.gs1ca.org/e/companynamechange.

2.4. Termination of Services

In the event that a member needs to terminate one or all services with GS1 Canada, the member shall forthwith notify GS1 Canada by paying the administration fee and completing the online release form available at www.gs1ca.org/apps/releaseletter.

2.4.1. Upon termination, this GS1 Canada Company Prefix Licence Agreement shall become void and the Licensee’s use of the GS1 Canada Company Prefix Licence number shall cease. Use of the GS1 Canada Company Prefix Licence number after termination is unlawful and contrary to the terms of this agreement.

2.4.2. Please be aware that, upon termination of the GS1 Canada Prefix Licence Agreement, GS1 Canada may reissue the Company Prefix number to other parties.

2.4.3. This Agreement shall terminate immediately if the Licensee does not comply, either directly or indirectly, with any term of this Agreement. GS1 Canada may terminate this Agreement at any time by notifying the Licensee in writing.

2.4.4. GS1 Canada must be notified if the Licensee’s organization is dissolved or no longer in business by completing the online release form. The form can be obtained at www.gs1ca.org/apps/releaseletter.

2.4.5. A cost recovery fee applies upon termination of your GS1 Canada Company Prefix Licence.

2.5. Bankruptcy

2.5.1. This Agreement terminates automatically if the Licensee becomes insolvent, has a receiver or trustee in bankruptcy appointed, enters into liquidation or is subject to an arrangement for protection from creditors. The receiver, trustee in bankruptcy or liquidator shall, upon request of GS1 Canada, execute and deliver to the Licensee an instrument confirming release of all rights in the GS1 Canada Company Prefix Licence number.

2.5.2 You must notify GS1 Canada of your intention to release you Company Prefix Licence(s) by completing the online release form, as well as submitting the Trustee document. The form can be obtained at http://www.gs1ca.org/apps/releaseletter.

I have read and understood the GS1 Canada Company Prefix Licence conditions explained in the section above.

3. GS1 Canada Obligations

3.1. Recognition

Upon granting a GS1 Canada Company Prefix Licence, GS1 Canada recognizes the Licensee’s right to use the GS1 Canada Company Prefix Licence for the 12-month period and, subject to payment of the annual Canadian Company Prefix Licence fee to GS1 Canada, from year to year thereafter.

3.2. Validation

GS1 Canada undertakes to validate and register a Licensee’s company information and GS1 Canada Company Prefix Licence in GS1 Canada’s member database. GS1 Canada will certify the Licensee as the valid licence holder of the GS1 Canada Company Prefix Licence, through a GS1 Canada Company Prefix Licence certificate and upon the request of trading partners.

4. Ancillary Rights of Licensee

Upon registration or annual renewal of a GS1 Canada Company Prefix Licence, the Licensee will receive the following:

4.1. Automatic GS1 Canada Membership

A Licensee automatically becomes a member of GS1 Canada for the duration of the licensing period and gains access to the following GS1 Canada member benefits:

4.1.1 GS1 Canada Education offerings share supply chain best practices through a wide range of practical courses. Visit www.gs1ca.org/e/education.
 
4.1.2. Internet-based access to standards and implementation guidelines for bar coding, EDI and XML communications at www.mygs1ca.org.
 
4.1.3. Internet-based access to GS1 Canada’s Members Section at www.mygs1ca.org, which provides online access to a wealth of information on product identification and e-commerce industry standards.
 
4.1.4. Solutions to bar coding or e-commerce problems, through GS1 Canada’s Toll-Free Technical Support Help Line at 1.800.567.7084 or electronically at info@gs1ca.org.
 
4.1.5. Leading-edge industry information on product identification and e-commerce, through GS1 Canada Communication bulleting.
 
4.1.6. Participation in industry supply chain committees, enabling your organization to contribute to shaping the future of e-commerce and network with industry colleagues.
 
4.1.7. Updates on Canadian and international supply chain conferences and industry events.

4.2. Canadian Company Prefix Licence Certificate

Trading partners can request evidence of a valid GS1 Canada Company Prefix Licence and industry compliance. The GS1 Canada Company Prefix Licence Certificate, issued by GS1 Canada, is valid for the 12-month licensing period and can be presented to trading partners as such evidence. Upon becoming a GS1 Canada member, you will be able to view and/or print a copy of the certificate at www.mygs1ca.org.

This Company Prefix Licence Agreement consists of this first page, the Standard Terms and Conditions, Schedule A and Schedule B. Through their execution of this Company Prefix Licence Agreement, GS1 Canada and the Licensee agree that the granting of the licence by GS1 Canada to the Licensee shall be subject to all of the terms and conditions of this Licence Agreement.

IN WITNESS WHEREOF, the parties hereto have caused this Company Prefix Licence Agreement to be executed as of the date first written above.

Schedule A - Licence Fees and Payment Policy

5. Credit Terms & Conditions

5.1. GS1 Canada shall have the right to inquire about and furnish information regarding you and your account from and to any others, including credit-reporting agencies.

5.2. You agree to pay the total charges by the due date stated, using any of the methods below:

5.2.1. Online at www.gs1ca.org/e/payonline using your customer number and invoice number

5.2.2. By mailing a cheque or money order made payable to GS1 Canada

5.3 GS1 Canada reserves the right to implement a reasonable fee increase at any time if deemed necessary.

5.4. As a not-for-profit organization, GS1 Canada has implemented the following collection procedure:

5.4.1 A cost recover fee* will be applied to all invoices that are outstanding over 65 days.

5.4.2 GS1 Canada offers subsidies to small and medium enterprises (SMEs) provided the company earns less than $5 million in annual Canadian sales revenue and the invoice is paid within 65 days of the invoice date.

5.4.3. Your customers will be notified that your service is at risk for invoices that are outstanding over 75 days.

5.4.4 If any invoice remains outstanding over 105 days, your membership and the right to use ECCnet Implementation Services will be suspended and, if applicable, your catalogue in the ECCnet Registry will be terminated.

5.4.5. If any invoice remains outstanding over 120 days, your account will be forwarded to a collection agency.

5.4.6. Upon termination, your customers will be notified that your Catalogue is no longer active.

Note: *The cost recovery fee represents a reasonable pre-estimate of costs for the additional administration incurred to obtain payment of an overdue invoice. Invoice age is calculated from the invoice date.

5.5. If your agreement(s) with GS1 Canada is/are terminated for any reason, access to the data in your product Catalogue will also terminate, if applicable. GS1 Canada may, in its discretion and without further notice to you, remove the data in your product Catalogue from ECCnet Registry, if applicable. If you apply for the re-instatement of your product Catalogue, you must pay the greater of (a) $5,000, or (b) the normal charges applicable to loading all of the data in your product Catalogue.

5.6 Company Prefix Licences obtained after March 31, 1997 must be renewed on an annual basis, in accordance with the Company Prefix Licence Agreement. To terminate your Company Prefix Licence Agreement, complete the GS1 Canada Release Form at www.gs1ca.org/e/release. A termination fee applies. Termination of a Company Prefix Licence also terminates membership benefits including access to ECCnet Implementation Services, GS1 Canada Education and mygs1ca.org.

5.7. Any questions or discrepancies regarding charges on your invoice must be reported to GS1 Canada’s Member Services department within 30 days of the billing date. Failure to contact GS1 Canada within this time period will constitute your acceptance of the full invoiced amount, as well as an administrative charge for processing late payments.

5.8. Your account information may, from time to time, be disclosed to other members of the GS1 organizations in order to service your account, to respond to questions and to streamline the number of services and products made available by GS1 Canada that might interest you as a member.
