Annual Company Prefix Licence
Accepting the documentation accompanying this GS1 Canada Company Prefix Licence constitutes acceptance and full agreement to the terms and conditions of this Agreement, as well as agreement to be bound by said conditions.
Standard Terms & Conditions
1. Purpose
Trading partners in Canada and around the globe rely on GS1 Member
Organizations, such as GS1 Canada, to maintain current and accurate records for
GS1 Canada Company Prefix Licences associated with bar coded products. To
preserve the integrity of your company and product information, GS1 Canada
issues Company Prefix Licences that are valid for a duration of 12 months, which
Licensees renew on an annual basis.
2. Conditions
2.1. Exclusive Use
2.1.1. A GS1 Canada Company Prefix Licence, issued by GS1 Canada, is to
be used in accordance with global standards to identify items, locations,
assets, logistics units, and service relationships owned or controlled by
the Licensee. Global standards for the use of GS1 Canada Company Prefix
Licences are administered by GS1 Canada in Canada.
2.1.2. The GS1 Canada Company Prefix Licence may not be sold, leased,
sublicensed, or subdivided for use by others. Special rules apply if the
Licensee desires to transfer the Company Prefix Licence number in the event
of a sale or merger, as set out in paragraph 2.3 of this Licence Agreement.
2.1.3. Once GS1 Canada assigns a prefix number to your file, no exchanges
are permitted. If a Prefix number does not suit your business requirements,
you must complete a release form, which is available at www.gs1ca.org. You
must also submit the administration fee to terminate the GS1 Canada Company
Prefix Licence number and complete a second prefix request form to obtain
another number.
2.1.4. Prefix Authorization
If another company (such as a distributor, broker, manufacturer, wholesaler,
exporter, importer, etc.) represents your company within the Canadian market
and requires access to any of GS1 Canada services on your behalf, you must
complete the following steps:
1) Complete a Prefix Letter of Authorization, confirming that you permit the
other company to represent your company, available at
www.gs1ca.org/e/prefixauth.
2) Print the Letter of Authorization on your company’s letterhead
3) Submit the Prefix Letter of Authorization, along with administration fee
to process the letter
2.2. Provision of Company Information
Licensees must ensure that their company’s online profile remains up-to-date:
2.2.1. Legal name and address must be accurate. Organizations that
officially identify themselves with a number must provide GS1 Canada with
the name under which they operate.
2.2.2. Contact information must include the e-mail addresses of employees
who will receive essential news and communications from GS1 Canada. Please
note that the contact details of the organization’s CEO must be completed.
2.2.3. Contact information must include the e-mail address(es), of the
employee(s) responsible for coordinating and managing product identification
internally.
2.2.4. To determine the appropriate fee for the GS1 Canada Company Prefix
Licence, the Licensee must complete and return a Sales Confirmation Form
signed by the company’s Chief Financial Officer. The form can be obtained at

2.3. Company Name Change
In the event that a GS1 Canada member’s corporate name changes, the member shall
forthwith notify GS1 Canada by completing the online name change notification
form, pay the administration fee and include a copy of the relevant legal
document(s) that confirm the name change.
International GS1 Canada members wishing to make changes to their company name
must supply a confirmation letter from the GS1 Member Organization that issued
the company’s prefix number.
International members of GS1 Canada that acquire a Canadian company that holds a
GS1 Canada Company Prefix Licence must complete a name change notification form,
pay the administration fee and include a copy of the relevant legal document
confirming the name change.

2.4. Termination of Services
In the event that a member needs to terminate one or all services with GS1
Canada, the member shall forthwith notify GS1 Canada by paying the
administration fee and completing the online release form available at
www.gs1ca.org/apps/releaseletter.
2.4.1. Upon termination, this GS1 Canada Company Prefix Licence Agreement
shall become void and the Licensee’s use of the GS1 Canada Company Prefix
Licence number shall cease. Use of the GS1 Canada Company Prefix Licence
number after termination is unlawful and contrary to the terms of this
agreement.
2.4.2. Please be aware that, upon termination of the GS1 Canada Prefix
Licence Agreement, GS1 Canada may reissue the Company Prefix number to other
parties.
2.4.3. This Agreement shall terminate immediately if the Licensee does not
comply, either directly or indirectly, with any term of this Agreement. GS1
Canada may terminate this Agreement at any time by notifying the Licensee in
writing.
2.4.4. GS1 Canada must be notified if the Licensee’s organization is
dissolved or no longer in business by completing the online release form.

2.4.5. A cost recovery fee applies upon termination of your GS1 Canada
Company Prefix Licence.
2.5. Bankruptcy
2.5.1. This Agreement terminates automatically if the Licensee becomes
insolvent, has a receiver or trustee in bankruptcy appointed, enters into
liquidation or is subject to an arrangement for protection from creditors.
The receiver, trustee in bankruptcy or liquidator shall, upon request of GS1
Canada, execute and deliver to the Licensee an instrument confirming release
of all rights in the GS1 Canada Company Prefix Licence number.
2.5.2 You must notify GS1 Canada of your intention to release you Company
Prefix Licence(s) by completing the online release form, as well as
submitting the Trustee document. The form can be obtained at
